acknowledge your acceptance of these terms and conditions (the "Terms of

2. Services
LoftCity provides its users with forums and utilities, to enable its
users to share knowledge, collaborate with others students and to
co-create some projects, by forums.
In order to use this Website, you will have to create an account (Open a
Loft). Use of the Forum will allow you to upload, and/or access and read
content, and to share such content with others. The use of any Service
is subject to these Terms of Use.
HermesArtStudios reserves the right, at its sole discretion, at any time
to modify, suspend or discontinue, temporarily or permanently, the
Services (or any part thereof) with or without any notice.
HermesArtStudios shall not be liable for any modification, suspension or
discontinuance of any of the Services.
3. Funding and Publishing Services
The publishing, and any other use of User Content is subject to the
explicit consent of the people or entities co-creating such User Content.
Such persons are designated in advance in the process of the
establishment of a 'co-creating' forum. It is your sole responsibility
to verify the consent of all co-creating users to enable use, including
without limitation, publishing of the User Content following its
creation. To avoid any doubt, you shall be solely responsable for the
obtaining of all required consents and permissions in connection with
the publish and use of the User Content, not only from the co-creating
users but also from any other parties which may have rights in and to
such User Consent, or whose consent is otherwise required in connection

limitation to other users of this Website and to co-creators, in
connection with the use, and/or publishing of your User Content.
Website Access
A. HermesArtStudios hereby grants you permission to use the Website,
provided that: (i) your use of the Website is solely for your personal
use, including by cooperation, co-creation and file sharing with others,
but not for further distribution or sale; (ii) your use of Website,
utilities and Services, and your activity in the Website, will not
conflict, directly or indirectly with agreements you have with third
parties, or with third parties' rights;(iii) Except your own User
Content, you will not copy, distribute or modify any part of the Website
without prior written authorization; and, in connection with the User
Content of others (iv) you will not send unsolicited or unauthorized
advertisements, spam, chain letters, etc., (v) you will not transmit any
User Content (as defined in Section 2 above), which contains software
viruses, or other harmful computer code, files or programs; (vi) you
will not transmit any User Content which infringes upon rights,
including without limitation intellectual property rights, of third
parties, or which may be offensive, indecent or objectionable.
B. In order to access some features of the Forum, you will have to
create a discussion. You may never use another user's discussion without
permission of your teachers. You are solely responsible for the activity
that occurs on your forum. You must notify your teacher and
HermesArtStudios immediately of any inappropriate or unauthorized use of
your forum discussion. HermesArtStudios will not be responsable by any
unauthorized or inappropriate use of your forum discussion.
C. You agree not to collect any personally identifiable information,
including account names or e-mail addresses, from the Website, nor to
use the communication systems provided by the Website for any commercial
solicitation purposes.
D. HermesArtStudios, in its sole discretion, has the right to terminate
your access to the Website, immediately and with or without cause.
HermesArtStudios may deactivate or delete your discussion and all
related information and/or lock any further access to such files or the
Website. HermesArtStudios further has the right to remove any User
Content from the Website, for any reason. HermesArtStudios shall not be
liable for any termination of your access to the Website. By uploading
your User Content to the Website you are granting HermesArtStudios a
perpetual, worldwide, irrevocable, fully-paid-up, royalty free license
to freely use the User Content in connection with the Services and the
Website. You hereby warrant and represent that (i) you own, have a
license to, or otherwise control all of the rights to the User Content
uploaded by you, including without limitation, all the rights necessary
for you to provide, post, upload or submit the User Content; and (ii)
each person depicted or recorded in such User Content, if any, has

and confidential information of HermesArtStudios that are protected by

in the Website (in addition to the User Content, which is not referred

works based on the Website, or any of the utilities used in connection

You understand that when using the Website, you will be exposed to User
Content from a variety of sources, and that HermesArtStudios is not
responsible for the accuracy, usefulness, safety, or intellectual
property rights of or relating to such User Content. You may be exposed
to User Content that are inaccurate, offensive, indecent, or
objectionable, and you agree to waive, and hereby do waive, any legal or
equitable rights or remedies you may have against Loftcity with respect
thereto.
HermesArtStudios does not permit copyright infringing activities and
infringement of intellectual property rights on its Website, and
LoftCity will remove all User Content, if properly notified according to
the notification mechanism described at

Infringement Policy that such content infringes on a third
party's intellectual property rights, or is otherwise offensive,
indecent, objectionable or unlawful. HermesArtStudios reserves the right
to remove content without prior notice. HermesArtStudios may remove such

violation of these Terms of Use at any time, without prior notice and at
its sole discretion.
You, and not HermesArtStudios, are entirely responsible for all User
Content that you upload, make available, e-mail or otherwise transmit to
the Website. HermesArtStudios does not control the User Content posted
via the Forum and, as such, does not guarantee the accuracy, integrity

and against any and all claims, damages, obligations, losses,
liabilities, costs and expenses arising from: (i) your use of the

your violation of any third party right, including without limitation
any copyright, property, publicity or privacy right; or (iv) any claim
that one of your User Content caused damage to a third party. This
defense and indemnification obligation will survive these Terms of Use
and your use of the Website.

You affirm that you are either more than 18 years of age, or that you
are a teacher involved in this project, or possess legal parental or
guardian consent (a teacher) to enter into these Terms of Use, and to
comply with these Terms of Use.

HermesArtStudios on the Website, shall constitute the entire agreement
between you and HermesArtStudios concerning the Website. If any

affect the validity of the remaining provisions of these Terms of Use,
which shall remain in full force and effect. No waiver of any term of

your assent to and acceptance of its revised terms. YOU AND
HermesArtStudios AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR
RELATED TO THE HermesArtStudios WEBSITE MUST COMMENCE WITHIN ONE (1)
YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION
IS PERMANENTLY BARRED.
